ARBITRATION NOTICE: SECTION 16 OF THESE TERMS REQUIRES ALL DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION. BY USING THE SERVICE, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING AGAINST FREEDOM TECHNOLOGY.

1. Agreement to Terms

BY ACCESSING OR USING THE FREEDOM TECHNOLOGY PLATFORM OR SERVICES (THE "SERVICE"), YOU ("CUSTOMER," "YOU," OR "YOUR") AGREE TO BE BOUND BY THESE TERMS OF SERVICE ("TERMS") IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICE. IF YOU ARE ACCESSING THE SERVICE ON BEHALF OF A BUSINESS, YOU REPRESENT THAT YOU HAVE FULL AUTHORITY TO BIND THAT ENTITY TO THESE TERMS.

We reserve the right to modify these Terms at any time. Continued use of the Service following any modification constitutes acceptance. We encourage you to review these Terms periodically.

2. Access to the Service

Freedom Technology grants you access to the Service subject to these Terms. We reserve the right to:

  • Modify, limit, suspend, or discontinue the Service or any feature at any time, with or without notice, for any reason or no reason

  • Introduce fees or change pricing at any time, with notice to you

  • Determine eligibility for access in our sole discretion

Access to the Service does not create any entitlement to specific features, uptime, support levels, or continued availability.

3. Fees and Payment

3.1 Exception and Pass-Through Fees. Certain events will result in fees charged directly to you. The following fees apply at the rates set forth in Freedom Technology's then-current fee schedule, which may be updated from time to time:

Additional exception fees may apply for other non-standard processing events as determined by Freedom Technology in its sole discretion. All fees listed above are non-negotiable and non-refundable. You authorize Freedom Technology to debit your linked Bank Account for any such fees as they arise.

3.2 Premium Services. Freedom Technology may offer optional premium services for an additional fee, as made available from time to time at our sole discretion. Premium services will be presented with their applicable fees at the time of enrollment. By electing a premium service, you authorize Freedom Technology to charge the applicable fees to your linked Bank Account or other payment method on file.

3.3 Fee Changes. Freedom Technology reserves the right to introduce new fees or modify existing fees at any time. Your continued use of the Service or any premium service after a fee change takes effect constitutes acceptance of the updated fees.

3.4 Delinquency. If any amount owed is not collected due to insufficient funds, account closure, or any other reason, you remain liable for the full amount plus any applicable return fees, bank charges, interest at the lesser of 18% per annum or the maximum rate permitted by law, and reasonable costs of collection including attorneys' fees. Freedom Technology may suspend or terminate your access until all outstanding amounts are resolved.

3. Description of Service; Scope of Responsibility

Freedom Technology provides a software platform for payroll administration and benefits enrollment management. We are a software platform only — not a payroll processor, benefits provider, financial institution, or licensed professional services firm.

Actual payroll processing and benefits brokering are performed by independent third-party providers. Freedom Technology bears no responsibility whatsoever for the acts, omissions, errors, or failures of any third-party provider, even where such providers are accessed through or recommended by the Service.

4. Account Registration

You agree to provide accurate information when registering and to keep it current. You are solely responsible for all activity occurring under your account, whether or not authorized by you. Freedom Technology is not liable for any loss or damage arising from unauthorized account access.

5. Identity Verification; KYC; Financial Screening

5.1 To comply with applicable law and to protect the integrity of the Service, Freedom Technology may require you to provide identifying information about your business, its owners, officers, and authorized administrators, including but not limited to: full legal name, address, date of birth, Employer Identification Number (EIN), government-issued identification documents, and bank account information ("Identification Information"). We may verify this information through third-party identity verification and credit reporting services.

5.2 You represent and warrant that all Identification Information you provide is truthful, current, accurate, and complete, and that you are not submitting such information on behalf of an unauthorized third party. Failure to provide requested Identification Information in a timely manner may result in immediate suspension or termination of your access to the Service without notice or liability to you.

5.3 Freedom Technology reserves the right to terminate this Agreement immediately, with or without notice, and without liability to you, if we are unable to verify your identity or satisfactory financial standing, or for any other lawful business reason, including reasons that are confidential or that we may not legally disclose. You authorize Freedom Technology to report adverse business information about you to third parties, including federal or state tax authorities, where permitted by law.

5.4 Freedom Technology may institute a hold on your account or funds, or terminate this Agreement immediately without notice, if we determine in our sole discretion that you or any of your administrators are subject to sanctions, appear on any government watchlist, or are otherwise ineligible to use the Service under applicable law.

6. ACH Debit Authorization; NACHA Compliance

6.1 Bank Account Requirement. You must link at least one valid U.S. bank account to your account ("Bank Account") in order to use the Service. You represent and warrant that you are an authorized signatory on any Bank Account linked to your account and that you have authority to authorize debits from such account.

6.2 ACH Debit Authorization. By linking a Bank Account and using the Service, you authorize Freedom Technology and its payment processing partners to initiate Automated Clearing House (ACH) debit entries from your Bank Account for:

  • Payroll funds to be disbursed to your employees and contractors

  • Any applicable fees, including processing fees and exception item fees

  • Any subscription or platform fees that may apply in the future

  • Any outstanding amounts owed to Freedom Technology under these Terms

This authorization remains in effect until your account is terminated and all outstanding amounts have been collected. You may update your Bank Account information at any time through the Service, subject to verification.

6.3 NACHA Rules. Your use of the Service for ACH transactions is subject to the rules and operating guidelines of the National Automated Clearing House Association ("NACHA") as amended from time to time. You agree to comply with all applicable NACHA rules in connection with your use of the Service.

6.4 Returned Items and Errors. If a debit is returned for any reason — including insufficient funds, account closure, or unauthorized transaction claims — you remain liable for the full amount of the debit plus any applicable return fees, bank charges, or collection costs. Freedom Technology reserves the right to re-initiate a returned debit and to suspend or terminate your access to the Service until all outstanding amounts are resolved.

6.5 Resulting Errors. If an error in a payroll or payment transaction results from Freedom Technology's reliance on information provided by you or on your behalf, Freedom Technology may attempt to correct such error but makes no warranty or guarantee that it will be able to do so, in whole or in part, and will not be liable for any failure to correct such error.

6.6 No Unauthorized Chargebacks. You agree not to initiate any chargeback, reversal, or recall of any ACH debit properly authorized under these Terms. If you do so, Freedom Technology may immediately suspend or terminate your access and pursue collection of all amounts owed, including associated fees and costs.

7. Authorized Use and Restrictions

7.1 You may use the Service only for lawful internal business purposes.

7.2 You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose

  • Attempt to access, probe, or disrupt any system or network connected to the Service

  • Reverse-engineer, decompile, or extract source code from the Service

  • Resell or sublicense access to the Service

  • Introduce malicious code or interfere with the Service's integrity

7.3 We reserve the right to suspend or terminate your access for any violation, or for any other reason in our sole discretion, without liability to you.

8. Customer Data; License Grant

8.1 Your Responsibility. You are solely and entirely responsible for the accuracy, legality, and completeness of all data you input into the Service ("Customer Data"). Freedom Technology has no obligation to verify, correct, or validate any Customer Data. You accept sole responsibility for any liability arising from your failure to provide accurate or timely information.

8.2 Employee Consent. You represent and warrant that you have obtained all necessary consents, provided all required notices, and have all other rights necessary to submit Customer Data — including personal information of your employees — to the Service and to authorize Freedom Technology to process it as described in these Terms and our Privacy Policy. Freedom Technology bears no liability for any claim by an employee or other individual arising from your failure to obtain such consent or provide such notice.

8.3 Duty to Notify. You agree to promptly notify Freedom Technology of any third-party notices you receive — including from the IRS, other government agencies, insurance carriers, or regulators — that could affect Freedom Technology's ability to provide the Service or that could give rise to a claim against Freedom Technology. Failure to provide timely notice relieves Freedom Technology of any liability that could have been mitigated had notice been given.

8.4 License to Freedom Technology. By using the Service, you grant Freedom Technology a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to access, store, process, and use Customer Data for the following purposes:

  • Providing and operating the Service

  • Improving, developing, and enhancing the Service and its features

  • Generating aggregated, de-identified, or anonymized data ("Derived Data"), which we may use, license, or otherwise exploit without restriction or compensation to you

  • Sharing with third-party business partners, service providers, and integrations in connection with delivering or enhancing the Service, subject to our Privacy Policy

  • Fraud detection, security monitoring, and abuse prevention

  • Internal analytics and business intelligence

  • Compliance with legal obligations

8.5 Derived Data. Derived Data that does not identify you, your business, or any individual belongs exclusively to Freedom Technology and is not subject to any restriction under these Terms.

8.6 No Obligation to Store. We have no obligation to maintain or back up Customer Data. You are responsible for maintaining your own copies of all data you submit to the Service.

9. Third-Party Services

Your use of any third-party payroll processor, benefits broker, or other integrated service ("Third-Party Service") is entirely at your own risk and governed exclusively by that party's terms. Freedom Technology makes no representations about, and accepts no responsibility for, any Third-Party Service. We are not liable for any data shared with, or any act or omission by, any Third-Party Service.

10. No Professional Advice

Nothing in the Service constitutes legal, tax, accounting, payroll compliance, or financial advice. You are solely responsible for ensuring that your use of the Service and any outputs comply with all applicable laws and regulations. Freedom Technology expressly disclaims any liability arising from your reliance on the Service for compliance purposes.

11. Intellectual Property

All rights in the Service — including software, design, trademarks, algorithms, and documentation — are the exclusive property of Freedom Technology or its licensors. These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to use the Service as described herein. No other rights are granted.

You grant Freedom Technology a non-exclusive, royalty-free, perpetual license to use your company name, logo, and general description of your use of the Service for marketing and promotional purposes, including on our website, in presentations, and in press materials.

If you submit any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant Freedom Technology an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such Feedback in any manner we see fit, without any obligation, compensation, or restriction of any kind to you.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." FREEDOM TECHNOLOGY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, SECURITY, OR UNINTERRUPTED AVAILABILITY. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM FREEDOM TECHNOLOGY OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

13. Limitation of Liability

13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREEDOM TECHNOLOGY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

13.2 IN NO EVENT SHALL FREEDOM TECHNOLOGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOST PROFITS OR REVENUE; LOST OR CORRUPTED DATA; PAYROLL ERRORS, MISFILED TAXES, OR MISSED BENEFITS DEADLINES; REGULATORY FINES OR PENALTIES; THIRD-PARTY SERVICE FAILURES; OR UNAUTHORIZED ACCOUNT ACCESS — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.3 You acknowledge that the liability cap and exclusions above reflect a reasonable and fundamental allocation of risk between the parties.

14. Indemnification

You agree to indemnify, defend, and hold harmless Freedom Technology and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) Customer Data; (c) your breach of these Terms; (d) your violation of any applicable law; or (e) any claim by your employees or End Users in connection with the Service.

15. Term and Termination

15.1 These Terms remain in effect until your account is terminated.

15.2 We may suspend or terminate your access at any time, for any reason or no reason, with or without notice, without liability to you.

15.3 Effect of Termination. Upon termination, your license to use the Service immediately ends. We have no obligation to retain or provide Customer Data following termination. The following provisions survive termination indefinitely: Section 3 (Fees and Payment), Section 6 (ACH Debit Authorization), Section 8.4 (License to Freedom Technology), Section 8.5 (Derived Data), Section 11 (Intellectual Property), Section 12 (Disclaimer of Warranties), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 16 (Dispute Resolution), and all payment obligations accrued prior to termination.

16. Dispute Resolution; Binding Arbitration

16.1 Informal Resolution. You agree to contact us using the information below and attempt to resolve any dispute informally for at least thirty (30) days before initiating formal proceedings.

16.2 Binding Arbitration. All disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The AAA's Consumer Arbitration Rules shall not apply. YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

16.3 Class Action Waiver. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. YOU MAY NOT BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST FREEDOM TECHNOLOGY.

16.4 Governing Law. These Terms are governed by the laws of the State of Delaware.

17. General

17.1 These Terms are the entire agreement between you and Freedom Technology regarding the Service.

17.2 If any provision is unenforceable, it shall be modified minimally to be enforceable; all other provisions remain in effect.

17.3 Freedom Technology may assign these Terms freely. You may not assign without our written consent.

17.4 Force Majeure. Freedom Technology is not liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, changes to laws or regulations, embargoes, wars, terrorist acts, failures by third-party technology or infrastructure providers, riots, fires, earthquakes, floods, pandemics, power outages, strikes, acts of hackers, or acts of internet service providers.

17.5 Electronic Agreement. These Terms, and any acceptance hereof, shall be treated in all respects as an original contract with the same binding legal effect as a signed original delivered in person. Neither party may argue that a contract was not formed based on the use of electronic means to indicate acceptance, or because any signature or acceptance was transmitted electronically.
